A RESOLUTION AUTHORIZING CLOSING ON THE SALE OF CERTAIN REAL PROPERTY
WHEREAS, the City of Corcoran (the y") is the owner of certain real property within the City
of Corcoran, described.on the attached Exhibit A (the "Subject Property"); and
WHEREAS, the City Council previously approved and authorized execution of a purchase
agreement between the City and Saint Therese Communities, a Minnesota non-profit corporation,
the "Original Buyer"), contemplating terms of sale of the Subject Property. Said purchase
agreement was fully executed on December 12, 2019.
WHEREAS, on April 28, 2022, the City approved assignment of Original Buyer's interest in the
purchase agreement to Saint Therese of Corcoran, LLC (the "New Buyer"), and the City approved
the application to plat the Subject Property.
WHEREAS, the City and the New Buyer now desire to close on the sale of the Subject Property
to New Buyer, and the City desires to authorize the Mayor and the Administrator or their respective
designees to execute any and all documents necessary and proper to facilitate closing of the
transaction; and
NOW THEREFORE BE IT RESOLVED, the City Council of the City of Corcoran hereby
authorizes the Mayor and the Administrator or their respective designees to execute any and all
documents necessary and proper to facilitate closing of the transaction to sell the Subject Property
to New Buyer.
